THE ROLE: HEAD OF LEGAL This is NexGen Cloud’s first permanent in-house legal hire — a role that exists because the business has scaled to a point where a single legal resource is no longer enough. Commercial contracts, M&A workstreams, KYC, board secretarial, data protection, and platform terms all need dedicated ownership. As the company approaches Series B and expands into new geographies, the legal complexity is only growing. You’ll take direct ownership of the day-to-day commercial and operational legal workload and, critically, build the legal infrastructure the business needs from the ground up. This is simultaneously an execution role and a build role. This is a role for someone who thrives on responsibility, autonomy, and the tangible impact of their work. You won’t be inheriting a functioning function — you’ll be setting its foundations. WHAT YOU’LL BE DOING Rather than a long checklist, here’s what success in this role looks like: * Own the commercial contracts pipeline end-to-end — NDAs, MSAs, order forms, SOWs — running the day-to-day without escalation while building a library of standard forms and DocuSign templates from scratch. * Build the legal infrastructure NexGen Cloud needs — platform terms, KYC policy, M&A due diligence frameworks, anti-bribery policies, and export controls classification — putting in place the foundations the business is currently missing. * Collaborate closely with the Commercial and Sales teams as the first legal port of call for deal queries, and with HR, Finance, and Compliance to embed legal rigour across business processes. * Manage board and company secretarial mechanics — resolutions, Companies House filings, statutory registers — running independently from day one. * Support M&A and transaction workstreams alongside David Andrews (Seconded Counsel / GC) — due diligence checklists, closing mechanics, conditions precedent tracking. * Systematise legal operations as the business scales — contract register, matter tracking, external counsel spend management, and a legal risk escalation process that keeps the executive team ahead of issues. * Identify and close gaps proactively — whistleblowing frameworks, trademark registration programmes, insurance oversight — without waiting to be asked. ABOUT YOU We’re more interested in how you think and work than in a perfect CV. You will own a broad portfolio spanning gaming regulation, employment law, corporate governance, real estate, and commercial contracts, working closely with senior leadership to align legal strategy with business objectives. What You’ll Do 🚀 * Lead the U.S. legal function, partnering with the General Counsel and executive leadership on key strategic and operational decisions. * Draft, review, and negotiate a high volume of commercial agreements, including vendor contracts, MSAs, and IP licensing deals with sportsbook and technology partners. * Serve as the primary legal lead on HR-related matters, including employment agreements, non‑competes, internal policies, and NJ‑specific labor and payroll compliance. * Oversee legal aspects of New Jersey office leasing, facilities expansion, and related local land‑use or zoning requirements as the organization grows its physical footprint. * Lead strategic negotiations with external partners, technology providers, and government entities to secure favorable terms while mitigating long‑term legal and regulatory risk. * Oversee corporate governance for the U.S. entity, including resolutions, corporate filings, and internal policy frameworks to ensure ongoing good standing. * Lead all interactions with the New Jersey Division of Gaming Enforcement (DGE) and Casino Control Commission (CCC), overseeing submission and maintenance of all corporate and individual key employee licenses. * Develop and enforce a robust internal compliance framework aligned with “Casino Key Employee” standards and broader U.S. regulatory expectations. * Select, engage, and manage specialized external counsel for high‑complexity litigation, intellectual property, and other niche matters. What We’re Looking For 🎯 * J.D. from an accredited law school and an active U.S. bar license, with New Jersey bar admission or eligibility to register as in‑house counsel in NJ. * 7–10+ years of post‑qualification legal experience, including at least 3 years in a leadership role within a startup or high‑growth technology or online services environment. * Demonstrated broad legal literacy across Employment Law, Commercial Contracts, and Real Estate, with a track record of owning matters end‑to‑end. * Proven experience navigating regulations in iGaming, sports betting, or a closely related regulated industry; familiarity with the Casino Control Act is a significant plus. * Strong negotiation skills with experience leading complex, multi‑party commercial and regulatory negotiations. * Ability to translate legal risk into clear, actionable guidance for non‑legal stakeholders and to prioritize pragmatically in a fast‑moving environment. * Excellent communication, leadership, and stakeholder‑management skills, with experience partnering closely with C‑level leaders. * Proactive, organized, and execution‑focused mindset, comfortable building processes, policies, and documentation from the ground up.
