About this role * We are looking for an exceptional Senior Commercial & Privacy Counsel to join our growing Commercial Legal team. You will serve as a strategic legal partner to our go-to-market teams — driving complex deal negotiations, building scalable contracting frameworks, and fuelling our expansion with enterprise clients and organisations across all market segments. * This is a high-impact, highly autonomous role for a commercially sharp, privacy-fluent lawyer who thrives in fast-paced, technology-forward environments. You will guide sophisticated transactions across diverse industries and jurisdictions, providing strategic counsel on the commercial and regulatory dimensions of AI platform deployment. What you’ll be doing * Serve as a key strategic advisor to Sales leadership on complex commercial transactions, bringing sound judgement and a solutions-first approach to every deal. * Lead and close negotiations across the full range of commercial agreements — MSAs, SaaS subscriptions, PaaS, SOWs, professional services agreements, reseller and channel agreements, and government and public sector contracts. * Design and implement scalable contract frameworks, playbooks, and processes to support a high-velocity sales organisation. * Partner with Sales, Deal Desk, Partner & Alliances, Finance, Security, Product, and other business units to facilitate reviews, drive sales enablement, and contribute to continuous process improvement. * Serve as the internal lead on data privacy matters, embedding privacy expertise into commercial deals and raising data privacy awareness across the organisation. * Provide mentorship and support to other members of the legal team, supervising and coaching junior lawyers on commercial matters. * Foster trusted relationships with enterprise clients, external partners, advisors, and regulatory bodies across the region. * Anticipate emerging legal and regulatory developments affecting AI and technology and provide proactive strategic guidance to cross-functional leadership. * Develop training materials and deliver education to Sales, channel, and internal teams on contract terms, commercial risks, and legal process. What you’ll have * A law degree and qualification to practise in an EU jurisdiction. * At least 8 years of relevant legal experience supporting commercial transactions across diverse client segments and industries. * Significant experience structuring, drafting, and negotiating complex commercial agreements, with a strong intellectual property law and technology transactions background preferred. * Experience with cross-border transactions and multi-jurisdictional contracting spanning EU, UK, APAC, and North America. * Exceptional business judgement and a proven ability to balance legal risk with commercial objectives in fast-moving deal environments. * Executive-level communication skills: able to distill complex issues into clear, actionable guidance and influence stakeholders from SMB to large enterprise and C-suite. * Strong understanding of AI technology and governance trends; data privacy expertise spanning GDPR, UK GDPR, CPPA, and key international regimes; and working knowledge of ISO 27001, SOC 2, or similar frameworks. * Experience leading and mentoring lawyers, with the ability to operate independently in fast-paced, evolving technology environments. * Fluency in English; additional European language skills are a plus. Preferred * In-house experience at a leading technology company with EMEA operations. * Experience negotiating privacy and AI-specific or machine learning-related commercial agreements. * Public sector and regulated industry contracting experience. * Multi-jurisdictional experience across European and international markets. * A track record of using approved AI tools to increase legal productivity, and staying current on AI governance obligations. . Senior Counsel, UK & Commonwealth ADF International is looking for a Senior Counsel, UK & Commonwealth, to join us full-time in our London, UK office. As Senior Counsel, you are a vital part of the International Advocacy Team. In this role, you will report to the Director of UK & Commonwealth Advocacy. You will work as part of the team to engage in legal advocacy, litigation, and public advocacy before UK & Commonwealth law-making bodies in pursuit of our mission. You will develop legal strategies, draft legal documents and work with allies and other stakeholders in a range of settings. You will work closely with our communications and development teams to ensure the success of our work. Your Essential Responsibilities: In this position you will: 1. Engage in litigation: Act as lead counsel on cases in the UK or other countries of the Commonwealth in respect to our cases, overseeing litigation, media, development and related processes. Specifically, in respect of some cases, take a leading role on: * * Case Acquisition: Become the first point of contact for allies with potential litigation of interest to ADFI. * Case Development: Initiate contacts with potential clients. Work with the Director to determine next action in respect of legal matters. * Leading significant matters: Take the primary leading role in advancing our strategy before international courts and appellate courts nationally. * Legal strategy: Devise legal strategies that will advance our objectives. 2. Develop subject matter expertise: Become a sought-out expert within (and beyond) the team in respect of one or more specific practice areas. Maintain deep knowledge of international hard and soft law, going beyond one specific region. Provide mentoring and advice to more junior lawyers or interns. 3. Engage in legal advocacy in pursuit of ADF International objectives: * * Develop and implement strategies in pursuit of agreed generational wins in the UK and Commonwealth. * Lead, join, or assist in efforts to establish positive precedents and laws at the highest available courts and law-making institutions. * Cultivate a network of meaningful relationships with key stakeholders including lawyers, parliamentarians, advisors, and civil servants. 4. Identify, mobilize, and train others in support of the ADF International mission: * * Provide training on ADF International issues both internally and externally. * Work to identify and recommend for training candidates of the highest caliber. 5.
